for the use of the Psynex therapy documentation platform

Preamble

Psynex is a professional software solution for psychotherapists and psychologists for efficient and secure documentation of therapy sessions. The platform supports the creation of reports and applications through AI-powered features. These Terms and Conditions govern the contractual relationship between Intermac systems as the provider and therapists as users of the platform.

§ 1 Scope and Subject Matter

(1) Provider

These Terms and Conditions apply to all services provided by:

(hereinafter "Provider", "we", "us" or "Psynex")

(2) Scope of Application

These Terms and Conditions apply exclusively to the provision and use of the web-based platform "Psynex" (www.psynex.de) including all related services.

(3) User Eligibility

Business Users Only:

The platform is exclusively intended for business users and professionals, particularly licensed psychotherapists, psychologists, and other mental health professionals (hereinafter "User", "Therapist" or "Customer"). The platform is not intended for consumers or personal use.

(4) Acceptance of Terms

By registering for or using Psynex, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the platform.

§ 2 Registration and Account

(1) Registration Requirements

Use of the platform requires registration. During registration, you must provide accurate and complete information:

  • Full name
  • Email address
  • Practice address
  • Professional license/certification
  • Optional: Phone number, specialty

(2) Contract Formation

The contract is formed as follows:

  1. By completing the registration form and clicking "Create Account", you submit a binding offer to enter into a usage agreement.
  2. By registering, you accept these Terms and Conditions, the Privacy Policy, and the Data Processing Agreement (DPA).
  3. We will confirm receipt of your registration by email. This confirmation does not constitute acceptance of your offer.
  4. The contract is formed when we activate your account. You will receive a confirmation email with your access credentials.

(3) Verification

We reserve the right to verify your professional qualifications. Access to certain features may be restricted until verification is complete.

(4) Account Security

Important:

  • You must keep your login credentials confidential and secure
  • Account sharing is prohibited – each therapist requires their own account
  • You must notify us immediately if you suspect unauthorized access
  • You are responsible for all activities under your account unless you can demonstrate the unauthorized use was not your fault

§ 3 Services and Features

(1) Platform Features

Psynex provides the following core features:

  • Writing assistance for applications

  • Therapy reports

  • AES-256 encryption
  • Daily backups
  • GDPR-compliant processing

(2) Service Availability

We aim to provide the platform with 99.5% uptime on an annual average (excluding scheduled maintenance windows).

(3) Updates and Changes

We may update, improve, and add new features to the platform at any time. We will notify you of significant changes that may affect your use of the service.

(4) Beta Features

Features labeled as "Beta", "Preview" or "Experimental" are provided "as is" without warranty. They may contain bugs and are excluded from our uptime guarantee. Use of beta features is optional.

§ 4 License and Usage Restrictions

(1) License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the platform for your professional therapy practice during the term of your subscription.

(2) Prohibited Activities

You may not:

  • Share, rent, sell, or transfer your account to third parties
  • Reverse engineer, decompile, or disassemble the software
  • Remove copyright notices or circumvent security measures
  • Overload our systems with automated requests (without permission)
  • Use the platform for illegal purposes or to distribute malware
  • Attempt to gain unauthorized access to our systems

(3) Your Data

You retain all rights to the data you enter into the platform (patient records, notes, etc.). We do not claim ownership of your content and only use it as necessary to provide our services.

(4) AI-Generated Content

Important: AI-generated reports and text are provided as suggestions only. You are required to review, edit, and approve all AI-generated content before use.

We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You bear full responsibility for the final content of all reports and documents.

§ 5 Your Responsibilities

(1) Data Protection Obligations

As the data controller, you are responsible for:

  • Obtaining valid consent from your patients for data processing
  • Informing patients about the use of Psynex and AI services
  • Responding to patient data access and deletion requests
  • Ensuring all data entered into the platform was lawfully obtained

(2) Technical Requirements

  • Keep your login credentials secure
  • Use up-to-date browsers and operating systems
  • Maintain your own backup copies of important data (recommended)
  • Report security incidents to us immediately

(3) Professional Obligations

  • Provide accurate information during registration
  • Do not upload illegal, defamatory, or rights-infringing content
  • Review and verify all AI-generated content before use
  • Comply with applicable professional standards and regulations

(4) Indemnification

You agree to indemnify and hold harmless Psynex, its employees, and affiliates from any claims, damages, or expenses arising from your misuse of the platform, violation of these Terms, or infringement of third-party rights (including patient rights and data protection laws).

§ 6 Pricing and Payment

(1) Fees

Current pricing is displayed on our website at the time of purchase. All prices are exclusive of applicable taxes unless otherwise stated.

(2) Subscription Plans

(3) Payment Methods

We accept:

  • Credit card
  • SEPA direct debit (EU customers)
  • Invoice (available for certain plans, subject to approval)

(4) Late Payment

If payment is overdue, we may:

  • Charge interest at the applicable statutory rate
  • Suspend access to the platform (after 14 days' notice)
  • Terminate the agreement (after unsuccessful reminder)

Important: If access is suspended, your data remains available for download for 30 days. After this period, data will be deleted in accordance with our Privacy Policy.

(5) Price Changes

We may adjust prices with 6 weeks' notice. You may cancel your subscription within 4 weeks of receiving notice of a price increase.

§ 7 Term and Termination

(1) Contract Duration

Your subscription begins when your account is activated and continues for the selected billing period (monthly or annual), automatically renewing unless cancelled.

(2) Cancellation

Cancellation periods:

  • Monthly subscription: Cancel anytime, effective at the end of the current billing month
  • Annual subscription: Cancel at least 3 months before your renewal date
  • You can cancel via your account settings or by emailing info@psynex.io

(3) Termination for Cause

Either party may terminate immediately for material breach, including:

  • By us: Non-payment after reminder, serious Terms violations, platform abuse, insolvency
  • By you: Service outages exceeding 14 days, significant service degradation, price increases over 10%

(4) Suspension

We may suspend your access if:

  • We reasonably suspect misuse of the platform
  • We suspect violation of these Terms or applicable law
  • Suspension is necessary to protect other users or our systems

We will notify you promptly of any suspension and the reasons, unless prohibited by law or security concerns. Suspension will be lifted once the issue is resolved.

(5) Effect of Termination

Upon termination:

  1. You have 30 days to export your data using our export function
  2. After 30 days, all your data will be permanently deleted
  3. Backup copies are deleted within 90 days
  4. No refunds are provided for unused subscription time (except where we terminate without cause)

§ 8 Availability and Maintenance

(1) Uptime Commitment

We target 99.5% uptime on an annual average.

Excluded from this calculation:

  • Scheduled maintenance (announced 48 hours in advance)
  • Force majeure events beyond our control
  • Third-party attacks (e.g., DDoS)
  • Issues with your internet connection or equipment

(2) Scheduled Maintenance

We perform routine maintenance during low-usage hours (typically nights and weekends) and will notify you at least 48 hours in advance via email and in-app notification.

(3) Emergency Maintenance

For critical security issues or severe disruptions, we may perform emergency maintenance without prior notice. We will inform you as soon as possible about the nature, reason, and expected duration.

§ 9 Data Security and Backups

(1) Security Measures

We implement comprehensive technical and organizational measures to protect your data:

All access is logged and monitored

(2) Backup Policy

Automatic backups:

  • Daily backups: Every day at 02:00 AM (UTC+1)
  • Retention: 90 days
  • Encryption: All backups are encrypted
  • Location: Separate German data center

(3) Data Recovery

In case of data loss due to our technical failure, we will restore from the most recent backup. Recovery Time Objective (RTO): 24 hours, Recovery Point Objective (RPO): 24 hours.

(4) Your Own Backups

Recommendation: Despite our backup strategy, we strongly recommend exporting your important data at least weekly using the export function in your dashboard.

You are responsible for maintaining your own backups. We are not liable for data loss that could have been prevented by regular exports.

§ 10 Limitation of Liability

(1) Liability for Damages

Unlimited liability:

We are fully liable for damages resulting from injury to life, body, or health, as well as damages caused by willful misconduct or gross negligence.

Limited liability:

For other damages, our liability is limited to breaches of essential contractual obligations. In such cases, liability is limited to foreseeable, typical damages, not exceeding the subscription fees paid in the preceding 12 months.

We are not liable for:

  • Data loss that could have been prevented by your regular backups
  • Indirect or consequential damages (including lost profits)
  • Damages caused by force majeure, third parties, or your actions
  • Content you enter into the platform

(2) AI Content Disclaimer

Important: AI-generated content (transcripts, reports, suggestions) is machine-generated and provided without warranty of accuracy, completeness, or professional suitability.

You must review and verify all AI-generated content before use. We are not liable for any damages arising from the use of unreviewed AI content.

(3) Service Warranty

We warrant that the platform will substantially perform the functions described in § 3. We do not warrant that the service will be uninterrupted or error-free.

Excluded: Issues caused by improper use, outdated browsers, or unsupported system environments.

§ 11 Medical and Professional Responsibility

Psynex is a documentation and practice management tool, not a diagnostic or treatment system.

You bear full professional responsibility for:

  • All clinical decisions, diagnoses, and treatment plans
  • The content of all reports and documents (including AI-assisted ones)
  • Compliance with professional standards and ethical guidelines
  • Maintaining patient confidentiality
  • Obtaining informed consent from patients

Psynex does not replace:

  • Your professional judgment and clinical expertise
  • Medical literature or clinical guidelines
  • The therapeutic relationship with your patients
  • Professional supervision or consultation

Using AI features does not reduce your duty of care. All AI-generated content must be reviewed and, where necessary, corrected before use.

§ 12 Changes to These Terms

(1) Right to Modify

We may modify these Terms to reflect changes in law, technology, or our services.

(2) Notice

We will notify you of changes at least 6 weeks before they take effectvia email and in-app notification.

(3) Acceptance

If you do not object within 4 weeks of receiving notice, the updated Terms will be deemed accepted.

We will clearly inform you of this consequence in our notification. If you object, you may terminate your subscription effective on the date the new Terms would take effect.

§ 13 Governing Law and Disputes

(1) Governing Law

These Terms and all disputes arising from them are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Jurisdiction

The exclusive place of jurisdiction for all disputes is Koblenz, Germany, provided you are a merchant, legal entity under public law, or special fund under public law.

(3) Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

(4) Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

(5) Language

The governing language of these Terms is German. In case of any discrepancy between translations, the German version prevails.
